The seat of arbitration shall be Mumbai and the language of the proceedings shall be English. The decision by such an arbitrator shall be final and binding on all the parties.

Notwithstanding the above, the courts at Mumbai shall have exclusive jurisdiction over any conflict proceedings that may arise out of this Agreement.
